        Merchant Agreement for BHOJEZY

         

        Introduction

         

        This Merchant Agreement ("Agreement") sets forth the terms and conditions under which food outlets ("Merchant", "You", or "Your") may use Bhojezy ("Platform", "We", "Us", or "Our") to offer food and beverage services through our app, which supports dine-in, takeaway, and delivery options. By registering as a merchant on our platform, you agree to comply with the terms outlined in this Agreement.

         

        1. Compliance and Regulations

         

        Food Safety: You agree to comply with all applicable food safety and hygiene standards as mandated by the Food Safety and Standards Authority of India (FSSAI), including but not limited to regulations concerning shelf life, food handling, and cleanliness.

        Licenses and Permits: You must maintain all required licenses, permits, and approvals and provide us with proof upon request.

        2. Commission and Payment

         

        Commission Fees: You agree to pay us a commission based on the item total after any discounts. The specific commission rate will be specified in the onboarding E-mail.

        Payment Processing: Payments will be processed through our platform, and you agree to bear any applicable payment gateway charges and statutory deductions regardless of whether the order is rejected by customer or you as-in the outlet.

        Settlement: Net amounts owed to you after deductions of the aforementioned fees and charges will be remitted to your designated bank account according to the payment schedule agreed upon.

        3. Delivery

        Third-Party Delivery: If using third-party delivery services arranged by the Platform, you acknowledge that the timing and quality of the delivery are outside our direct control, although we will make reasonable efforts to ensure service quality. In case of a delivery rider not available after the customer has placed the order and the outlet has accepted it,the outlet will be compensated 90% of the order amount and 10% will be given to the customer that placed the order.

         

         

        4. Intellectual Property

         

        You grant Bhojezy a non-exclusive, royalty-free license to use, display, and reproduce your trademarks, service marks, and logos in connection with the services provided by Bhojezy.

        5. Responsibilities

         

        Quality Assurance: You commit to providing high-quality food and services that meet or exceed customer expectations.

        Customer Complaints: You are responsible for addressing any customer complaints related to food quality or service standards provided by your outlet.

        6. Termination

         

        This Agreement can be terminated by either party with thirty (30) days written notice. In the event of termination, you must fulfill any pending orders processed prior to the termination date.

        We reserve the right to terminate the agreement immediately upon any breach of FSSAI regulations or failure to comply with any other legal requirements.

        7. Indemnity

         

        You agree to indemnify, defend, and hold harmless Bhojezy and its directors, officers, employees, agents, and successors from any claims, damages, liabilities, costs, losses, and expenses (including attorneys' fees) arising out of or related to your conduct, your use or misuse of the Platform, your breach of this Agreement, or your violation of any law or the rights of a third party.

        8. Governing Law

         

        This Agreement shall be governed by and construed in accordance with the laws of Hyderabad,Telangana,India.

         

         

        9. Amendments

         

        We reserve the right to amend this Agreement at any time. You will be notified of any material changes to the terms.

        Appendix A: Schedule of Charges(SOC)

         

        Commission Rates: The commission rate applicable to your outlet will be communicated to you in the onboarding e-mail. Commission  will be charged on the item total after any discounts. By continuing to use the Platform, you acknowledge and agree to the commission rate specified.

        Payment Gateway Charges: 2%(exclusive of 18%GST)

        Statutory Deductions: TDS - 1%, TCS - 1%,18% GST On Admin Commission, 18% GST on Payment Gateway Charges

        Payouts will be made every Wednesday(for orders received from Monday to Sunday).Payout cycle will also be mentioned in the onboarding e-mail sent to you.  It may take 2-3 days for the balance to reflect in your account after the payout has been initiated. Commission invoice will be shared for the same.

         

         

        Acceptance

         

        By using the services provided by Bhojezy, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including Appendix A, detailing the schedule of charges.
